Abstract

Byterover provides a Software-as-a-Service (SaaS) solution under the terms outlined in this agreement. This may include, where applicable, additional functionalities and features as part of the service offering.

Byterover SaaS Terms and Conditions

Byterover provides tools and solutions tailored for software development teams, offering features, functionalities, and services detailed on the official website (www.byterover.dev) at the time of subscription. The solution is intended solely for use within the Client’s development operations and must adhere to the agreed number of users specified in the subscription plan.

Byterover retains the right to temporarily restrict access to the solution, either in whole or in part, under certain circumstances, including:

  • Suspected or confirmed breaches of this Agreement by the Client.
  • Other valid reasons that warrant such restrictions.

In the event of restricted access, Byterover will promptly notify the Client and reinstate access once the underlying issue is resolved. However, repeated breaches of this Agreement, despite prior warnings, may result in permanent access suspension and termination of the Agreement without prior notice.

To ensure the solution remains up-to-date and effective, Byterover reserves the right to introduce updates, modifications, or new developments (collectively referred to as “Releases”) at any time. These updates may address legal, technical, or other relevant advancements and are designed to enhance the solution to meet current industry standards.

Byterover Subscription Terms and Billing

Subscription fees are based on the pricing listed at https://byterover.dev/pricing as of the subscription date unless otherwise agreed in writing. Subscriptions are billed on a recurring basis (“Billing Cycle”) in advance or arrears, depending on the chosen plan. Byterover may offer free tiers or limited-time free trials (“Free Trial Offer”), which terminate at the end of the agreement unless renewed.

Clients must provide accurate billing information and a valid payment method. Byterover is authorized to charge all fees to the provided payment method. If automatic billing fails, an electronic invoice will require manual payment within fourteen (14) days.

Byterover may adjust fees with one (1) month’s written notice.

Clients may need to provide billing information to start a Free Trial Offer. No charges will be made until the trial expires. If not canceled, the subscription will automatically renew at the applicable rate. Byterover reserves the right to modify or cancel Free Trial Offers at any time for future subscriptions.

Client Responsibilities

Clients are responsible for:

  • Ensuring all data (“Client Data”) added to the Solution is accurate and complete.
  • Verifying the Solution’s suitability for their needs.
  • Configuring and safeguarding the Solution to comply with applicable laws.

Clients must secure all rights, consents, and notifications for Byterover to process Client Data under this Agreement. Data that violates laws, third-party rights, or agreements must not be introduced into the Solution.

Clients must protect and manage access credentials provided by Byterover to prevent unauthorized use. Notify Byterover immediately of any unauthorized access or misuse of the Solution.

Ownership and Usage Rights

The Solution, its features, functionalities, and Documentation (excluding Client Data) are exclusively owned by Byterover and its licensors. They are protected by copyright, trademarks, and intellectual property laws. Byterover’s trademarks cannot be used without prior written consent.

Clients are granted a revocable, non-exclusive, and non-transferable right to use the Solution and Documentation only for their business purposes, as outlined in the Agreement. No ownership or additional rights are transferred to the Client.

Clients may not:

  • Use the Solution to create services with similar functionalities.
  • Access or use features beyond the agreed rights.

Data Processing and Usage

Byterover processes Personal Data as a processor on behalf of the Client, who acts as the controller, under this Agreement.

Byterover will assist the Client with data protection obligations when required, charging standard rates and reimbursement for reasonable costs.

Byterover may analyze data, including derived Client Data, to:

  • Improve the Solution and related services.
  • Share aggregate or de-identified data for business purposes.

Byterover will not:

  • Use Client Data to create competing products.
  • Sell Client Data.
  • Train AI models with Client Data.

Clients may share feedback “AS IS,” and Byterover can use it freely without obligations.

Term and Termination

The Agreement term matches the Subscription’s Billing Cycle, typically one (1) month.

Clients can cancel anytime during a Billing Cycle, effective at the end of that cycle, with no notice required.

Byterover may terminate with one (1) month’s notice.

Subscriptions automatically renew each Billing Cycle unless canceled.
